Terms of Use

These Terms of Use ("Terms") govern your access to and use of the websites, applications, and online services (collectively, the "Site") operated by Henon Financial Technologies Inc. and its subsidiaries and affiliates (collectively, "Henon," "Company," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

These Terms apply to all visitors, users, and others who access the Site. They do not govern the use of Henon's cloud-based platform or professional services provided to clients under a Master Service Agreement ("MSA"), Data Processing Agreement, or other executed contract. If you are a Henon client, your use of the Henon platform is governed by your MSA and related agreements, which take precedence over these Terms to the extent of any conflict.

1. Acceptance and Modifications

By accessing or using the Site, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. The "Last updated" date at the top of this page indicates when these Terms were most recently revised. Your continued use of the Site after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Eligibility

The Site is intended for use by business professionals and is not directed to individuals under the age of 18. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Intellectual Property Rights

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof — are owned by Henon, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes or for legitimate business evaluation of Henon's products and services. This license does not include:

• Any resale or commercial use of the Site or its contents.
• Any collection or use of product listings, descriptions, specifications, or pricing for competitive purposes.
• Any derivative use of the Site or its contents.
• Any downloading, copying, or other use of account information for the benefit of any third party.
• Any use of data mining, robots, spiders, scrapers, or similar data-gathering or extraction tools.

All rights not expressly granted to you in these Terms are reserved and retained by Henon or its licensors. No right, title, or interest in or to the Site or any content on the Site is transferred to you. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

4. Trademarks

The Henon name, the Henon logo, "M-Series," "M1-Map," "M2-Model," "M3-Measure," "henonGPT," "Zero Error," and all related names, logos, product and service names, designs, and slogans are trademarks of Henon or its affiliates. You must not use such marks without the prior written permission of Henon. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

5. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
• Use the Site to transmit or procure the sending of any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• Impersonate or attempt to impersonate Henon, a Henon employee, another user, or any other person or entity.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm Henon or users of the Site.
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the servers on which the Site is stored, or any server, computer, or database connected to the Site.
• Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Site.

We reserve the right to take any action we deem necessary to address violations of these Terms, including but not limited to terminating your access to the Site, reporting violations to law enforcement authorities, and pursuing any available legal remedies.

6. Account Registration

Certain features of the Site may require you to register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password associated with your account and for any activities or actions under your account. You agree to notify us immediately of any unauthorized access to or use of your account. Henon will not be liable for any loss or damage arising from your failure to comply with this section.

7. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Henon, including but not limited to document-sharing platforms used to distribute agreements and other materials. Henon has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Henon shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED BY HENON ON AN "AS IS" AND "AS AVAILABLE" BASIS. HENON MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE, THE ACCURACY, COMPLETENESS, ADEQUACY, RELIABILITY, AVAILABILITY, TIMELINESS, OR SUITABILITY OF THE INFORMATION, CONTENT, MATERIALS, OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Henon, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorneys' fees) arising from: (a) your use of and access to the Site; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or (d) any claim that your use of the Site caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Site.

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, and you irrevocably submit to the exclusive jurisdiction of such courts in any such suit, action, or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

15. Waiver

No waiver by Henon of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Henon to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the sole and entire agreement between you and Henon regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. For the avoidance of doubt, these Terms do not supersede, modify, or amend any Master Service Agreement, Data Processing Agreement, or other executed contract between you (or your organization) and Henon governing the use of Henon's platform or professional services.
